10 Questions to Ask Before Set-up Company in Vietnam

Foreigners are encouraged to make investment in Vietnam through direct investment by Setting up company in Vietnam.

However there are restrictions in some cases in regard to investment capital, investment area, special licenses required. The investor is suggested to consult with a law firm in Vietnam for advice and service offering.

 


Before setting up business in Vietnam, ask yourself the following questions:

1. Which business should I invest in Vietnam?

There are non-conditional investment areas and conditional investment areas.  Establishing company in the non-conditional investment areas are more simple than in conditional investment areas.  Investment in IT services, manufacturing, management consulting, business promotion are a few samples of non-conditional investment areas. Example of conditional investment areas are real estate, trading, travel agencies, freight forwarding…which are more complicated with investment conditions.  Investment conditions might also be changed over the time depending on the WTO commitments which Vietnam enters.

2. What should I name the business in Vietnam?

The company in Vietnam has to have Vietnamese name, and English name. The company could also have abbreviated name.  The name of the company in Vietnam indicates the structure of the company, the business lines, and the name that differentiate against other businesses.  For instance, the company could be named Alpha consulting limited liability company.

3. Where should I register the address of the business in Vietnam?

Not every address could be used to register a company.  The address has to be an address of a house with leasing agreement or office building which owner has license to operate as office building.

4. What is the legal structure of the company?

Depending on the number of investor contributing capital, company could be set-up as one member limited liability company or two or more member limited liability company or joint stocks company.

5. How much capital is required to set-up a company in Vietnam?

The investment amount depends on the business plan and is subject to the approval of the provincial Department of Planning and Investment evaluating application dossier. In some business areas like real estate, banking and finance, minimum capital is required. In general for non-conditional investment area, the law does not specify the minimum capital to establish a company in Vietnam however the State agencies that evaluate investment plan could reject the investment project which are not feasible. Bank statement in foreign banks could be used to prove sufficient fund of investment capital.

 

6. Whom will be legal representative and work permit in Vietnam?

The investor will need to appoint the legal representative in Vietnam to oversee the business performance and take legal responsibility in Vietnam. If the legal representative is an expatriate, whom is a capital contributing member or owner of a limited liability company or a member of the Board of Management of a shareholding company which is registered to operate in Vietnam, he or she will be exempted from work permit in Vietnam. Otherwise, he or she will need to have a work permit to work in Vietnam legally.  The work permit holder would then apply for temporary residence card to live in Vietnam as long as the work permit allows.

 

7. How long does it take to set-up a company in Vietnam?

It depends on what type, scale, and whether or not conditions are required. For a simple minimum capital without conditions to set-up, it would take 30 working days. For setting up company in conditional investment areas i.e.  trading company in Vietnam, time would be lengthen due to the involvement of a number of State agencies approving the investment project and it would take 60 working days. For setting up company in other investments in areas requiring conditions to meet, time might be taken depending on the type of conditions and the government agencies evaluating the conditions of investment.

8. Whom will be granting the investment license in Vietnam?

For most of the investment projects, the provincial state agencies with the approval of the Department of Planning and Investment (DPI) will be granting the Investment Certificate in Vietnam. However, depending on the type, scale, and whether or not conditions are required, other Vietnam State agencies might be involved. For the case of trading company, ministry of trade and commerce, ministry of finance, provincial people’s committee will be reviewing the investment application dossier as well.

 

9. What are the tax liability in Vietnam?

Major taxes in Vietnam are corporate income tax, import and export tax, value added tax, and personal income tax in Vietnam. In some special areas, there are other taxes. The corporate income tax is currently at 22% and will reduce to 20% beginning 2016. Export is mostly encouraged as such the export tax is 0 however there are special cases when export tax is larger than 0. Import tax varies according to tariff. Value added tax is mostly at 10% however in some cases, VAT could be 5% or 0%. Personal Income tax varies according to income level and is applicable from VND 9,000,000 above.

10. What are mandatory reports submissions requirement in Vietnam?

Companies are required to keep accounting books, prepare and submit tax reports on monthly, quarterly and annually. Foreign companies are also required to have financial audit taken before the financial year end. The financial year in Vietnam is from January to December and the deadline to submit financial report is March 30th for the previous year. Other reports are required to be submitted at other State agencies.

Which Areas Are Incentivized For Investment in Vietnam Under Decree No. 37/2020

Investors are always interested in areas which government incentivize for investment in Vietnam, to enjoy benefits i.e. tax reduction, tax exemption, land usage…which give them some help to grow the business in areas which are not economically potential without the help from the government when setting up company in Vietnam.


According to the regulations on business investment in Vietnam in Decree No.118/2015/ND-CP, investment projects eligible for investment incentives are entitled to tax and land policies in their performance. Accordingly, for businesses that invest in industries or areas enjoying investment incentives, there will be many advantages related to tax and using land when performance business.

According to the provisions of Appendix I, Decree No.118/2015/ND-CP, the fields are preferentially invested in many fields such as science and technology, electronics, mechanics, material production, and information technology, agriculture, environmental protection, infrastructure construction, education, culture, sports, health activities of People’s Credit Funds and microfinance institutions are specified in Appendix I Decree no. 118/2015/ND-CP.
However, with the continuous development of the economy, along with the development projects of many small and medium-sized enterprises, besides start-up projects, it is more suitable to the market economy and start-up situation of many investors, on March 30th 2020, the Government has issued Decree No.37/2020/ND-CP supplementing the list of preferential investment industries which will take effect from May 15th, 2020.

According to the provisions of Decree No. 37/2020/ND-CP, for business investment activities in accordance with the Law on Support for Small and Medium Enterprises with the following business lines which will be added to the list of industries to enjoy incentives for investment in Vietnam, including business investment in the product distribution chain of small and medium-sized enterprises, business investment in incubation facilities for small and medium-sized enterprises, business investment in technical facilities supporting small and medium-sized businesses, investing in a common working area for small and medium-sized start-ups.
The investors who invest in Vietnam in the business lines above in supporting industries for small and medium-sized enterprises from May 15, 2020, will be entitled to specific tax and land incentives specifically as required by law. Domestic and foreign investors could utilize the opportunity to make investment to enjoy the incentives in Vietnam when conducting businesses.

Korean Enterprises Poured Nearly 3.2 Billion USD into Binh Duong

Korean investment ranked 5th among countries and territories investing in Binh Duong, mainly in the fields of textiles, leather shoes, manufacturing products to support the automotive, medical, cosmetic industries and food processing…
According to Binh Duong Department of Planning and Investment, since the beginning of the year, Binh Duong has attracted nearly 1.45 billion USD of foreign direct investment (FDI), increase by 70% compared to the same period last year.
Accumulated until now, Binh Duong ranked 3rd in the whole country (after Ho Chi Minh City and Hanoi) in attracting FDI with over 3,650 projects from 64 countries and territories, with a total registered capital of 33.93 billion USD.
Notably, Korean enterprises have more and more investment projects, contributing positively to socio-economic development of Binh Duong. Among more than 3,650 FDI projects in Binh Duong, Korea ranked 5th with more than 800 projects, with a total investment of nearly 3.2 billion USD. Korean businesses operate mainly in the fields of textiles, leather shoes, manufacturing products to support the automotive, medical, cosmetic and food processing industries…
From the beginning of the year until now, the project to expand investment with the largest registered capital in Binh Duong is from a Korean enterprise.
Specifically, the project of KyungBang Vietnam Co., Ltd in Bau Bang Industrial Park, registered capital increased by 84 million USD, bringing the total registered investment capital to 179.2 million USD.
According to the Chairman of Binh Duong People’s Committee, the results of FDI attraction in Binh Duong are due to the positive contributions of the people and the foreign business community, including the contributions of Korean enterprises.
Therefore, the difficulties that Korean enterprises raised about human resources, problems in the investment process, technology, procedures for selling projects, machinery and equipment, changing the owners’ names, transfer of capital… Or, petitions on building more hospitals, applying health insurance for foreigners; opening Korean language teaching centers in colleges and universities in the province; set up e-mail system to solve difficulties in the province… Binh Duong People’s Committee will officially reply by documents for enterprises to thoroughly resolve petitions. At the same time, relevant departments must coordinate in strengthening the links between schools and businesses to focus on addressing the problem on lack of high quality human resources…
Besides, Binh Duong will concentrate resources to complete the socio-economic infrastructure system such as transportation, water supply, electricity, environmental treatment… to carry out planning to expand industrial parks, creating a clean land fund to attract investment.

Cargill (USA) Will Build Factory in Bac Ninh

Cargill Company (USA) is planning to build a factory specializing in producing livestock feed in Bac Ninh. It shows the attraction of Vietnam market, which makes foreign enterprises to come and invest in Vietnam.
On January 6th 2017, Chairman of Bac Ninh province had a meeting with Mr. Jorge – CEO of Cargill Vietnam came to survey and explore Bac Ninh province. Cargill is the US leading company in the fields of agriculture, food, industrial products and financial services. With more than 150,000 employees working in over 100 countries in the world, the revenues of the Company reached 150 billion USD a year.
In Vietnam, Cargill has 11 factories manufacturing and processing livestock feed in many localities across the country, such as Dong Nai, Hung Yen, Long An, Can Tho, Binh Dinh, Dong Thap and Nghe An…, creating jobs for thousands of workers.
Through surveys, Mr. Jorge impressed with the favorable investment environment, infrastructure, drastic and flexible management system of Bac Ninh province. Hence, the Company intends to build a factory manufacturing livestock feed in Que Vo 3 Industrial Zone in the first quarter of 2017.
It is expected that the Cargill factory has a total investment of 60 million USD, with the area of land to be used is 11 – 13 ha, capacity of 70,000 tons/month. This will be the largest factory of the Company in Vietnam, applying modern technology and equipment with a closed and environmental friendly deodorizing process.

Hanwha Techwin Company (Korea) Wants to Invest in Bac Ninh

Vietnam has always been an ideal investment destination for many foreign companies to come and set up business in Vietnam.
Currently, Mr. Yang Jin Seol, CEO of Hanwha Techwin Company (Korea) came to Bac Ninh to survey and explore the investment environment in Bac Ninh province.
Working with the Chairman of Bac Ninh Province, Mr. Yang Jin Seol said that Hanwha Techwin Company (under Hanwha Group) is specializing in producing security devices with 27 networks globally. Turnover of the Company in 2015 reached nearly 600 million USD.
Through survey and research, the Company is expected to invest in building factories in Que Vo Industrial Zone with a total investment of 50 million USD, in which the first phase (2017-2019) is 30 million USD. When put into operation, the plant will create jobs for about 1,500 – 2,000 labor, with capacity of 2 million pieces/year.
Mr. Yang Jin Seol hopes that the company’s business ideas will be interested and the provincial leaders will create favorable conditions, especially the preferential policies for enterprises producing high-tech products so that the Company can early implemented the plant construction in the first quarter of 2017.

Vietnam sees record new business in 2016

The new 110,000 businesses could create nearly 1.3 million jobs.
Vietnam saw a record number of business openings in 2016, shedding hopes for robust growth and strong investment in the near future.


A new report from the Ministry of Investment and Planning said the past year saw 110,000 new businesses open, up 16.2 percent from 2015. Registered capital increased 48 percent to more than VND891 trillion ($39 billion).

These new companies are expected to create nearly 1.3 million jobs, independent of the nearly 26,700 firms who suspended operations during tough times only to resume operations in the past 12 months.

Vice Minister Dang Duy Dong described the numbers as “lively.”

“With such energy and investmentopportunities, the market will surely be more competitive and the economy will leap strongly,” the government report quoted Dong as saying.

More than 36,000 new businessescame online in Ho Chi Minh City and nearly 23,000 in Hanoi.

New openings in the real estate sector increased almost 84 percent from last year, while education and healthcare openings increased 43 and 52 percent, respectively.

Arts, entertainment and agriculture businesses all dropped from last year.

But the ministry’s report also revealed a dark side of the boom.

Bankruptcies surged 32 percent to nearly 12,578, including in both agriculture and real estate.

Vietnam hopes to see over one million businesses in operation by 2020, which means an average of 100,000 openings every year.

Many Foreign Brands Are Coming to Vietnam

Realizing that Vietnam is a promising market, foreign enterprises want to do business in Vietnam through the form of franchising. Recently, many consumer goods, fashion and cosmetics brands from Japan and Thailand are promoting the franchise with Vietnamese partners and enterprises.

In the framework of the program “Vietnam – Thailand Enterprises Interaction in The Field of Franchising” which was held in Ho Chi Minh City (HCMC) recently, there were 40 Thailand enterprises operating in the food, beverage, restaurant, supermarket, health care, cosmetic sectors joined to find partners in Vietnam.
According Mr Nupartpat Sutthitham, Director of the MP Mart convenience store chain (Thailand), currently in Thailand there are 3 MP Mart stores, in which the model is not the same as Family Mart or Circle K. While Family Mart sells mainly food (80%), MP Mart sells mainly fast moving consumer goods, which are produced in Thailand (70%).
According to representatives of MP Mart, the cost to open a store in Thailand with an average area of 150 m2 is approximately 50,000 USD. Realizing the Vietnam market has many opportunities, MP Mart wants to explore and this is the first time this brand comes to Vietnam. The criteria for selection of investors, partners of MP Mart are having financial resources to be able to scaling this model in large numbers in Vietnam.
Meanwhile, according to representatives of Kokekokko – a well-known chicken fast food brand in Thailand with 5 stores, using Japanese spices to marinate chicken. Representatives of this brand also did not hide their intention to find partners with business understanding and financial resources to open stores in Vietnam.
Also in late November of 2016, there were 9 Japan enterprises with 14 fashion brands came to Vietnam to find partners to open franchise stores or distribute products in the domestic market.
According to Mr Akira Kaise, representatives of I Am Company Limited, this fashion brand has been presented in many markets around the world such as Hong Kong, Shanghai, Korea, Taiwan, Spain, UK, Netherlands… and this is the first time he comes to Vietnam to study the market.
Representative of I Am Co., Ltd commented that young population, good economic development, increasing people’s incomes… are factors to make Vietnam becoming a potential market for fashion items. In addition to the market penetration, the Company is also interested in outsourcing or investing in Vietnam to take advantage of low labor costs and highly skilled labors.
At the Vietnam market, Japanese businesses are often mentioned in the culinary field, meanwhile, the fashion, cosmetics or beauty brands are not widely known by consumers. Thus, recently, many Japanese cosmetic brands have decided to enter the market of Vietnam and looking for official distributors.
In an activity operated by the Esuhai Company of Vietnam recently in HCMC, there were nearly 10 cosmetic brands of Japan participated. Among them, the brand Kose is well known by many consumers.
According to the representative of Kose, this enterprise has been established since 1946, global sales reached 2.1 billion USD a year and has been presented in 18 countries. However, so far, this brand does not have official distribution channel in Vietnam market. Therefore, along with the promotion of market presence and product introduction, on this occasion, Kose desires to find agents and official partner in Vietnam.
Meanwhile, according to representatives of Nippon Menard Cosmetic Company, owner of the brand Menard, the Company is fully confident to introduce their products to consumers in Vietnam and wanted to find good partners to be able to access to more consumers.
According to the representatives of the Japan External Trade Organization (JETRO) in HCMC, Vietnam currently has more than 93 million populations, of which half are women who want to become more beautiful as earnings are improving and willing to spend the budget for beauty and body care. Therefore, this is a favorable time and good opportunity for the Japanese cosmetics brand to penetrate the market of Vietnam.
However, there is the fact that the Japanese cosmetic and fashion products are priced relatively high compared to the average income of local consumers. In addition, the Japanese fashion is not common in Vietnam market. Therefore, this is seen as the first step for the fashion and cosmetic brands of Japan to explore the market and find partners.

FDI Flows into Vietnam’s Geotechnical Engineering

The need for strong development of infrastructure in Vietnam is attracting more and more foreign businesses in the geotechnical engineering industry to come and set up business in Vietnam.

Geonia, a leading corporation in Korea specializing in the production of high quality geotextile product (the fabric with permeability, when using to line in the soil, it is capable of separating, filtering, protecting, processing strengthening and water drainage), which are expected to achieve strong revenue in Vietnam market.
According to Geonia’s Chief Representative in Vietnam, the Government of Vietnam is promoting the construction of road and port infrastructures; therefore the demand for geotextile products is very huge. Vietnam has built a number of highways and Geonia has provided this product, with revenues of more than 5 million USD in 2014 and approximately 5 million USD in 2015. In the coming years, revenue can increase; even twice when many projects in Vietnam are performed.
At the 3rd International Conference on Geotechnical took place recently in Hanoi, not just Geonia, there were nearly 50 other foreign companies participated and wanted to find out the business investment opportunities in Vietnam, through the establishment of partnerships, joint ventures and promoting the sale of geotechnical products in Vietnam market.
According to Sales Manager of ACE Geosynthetics Company (Taiwan), until the end of 2016, this Company will set up partnership with 5 enterprises in Vietnam, bringing the total number of partners to 18, although ACE Geosynthetics has not have official investment and trade activities in Vietnam. Currently, ACE Geosynthetics is the leading exporter of geothermal synthetic products in Asia.
ACE Geosynthetics could set up factory in Vietnam in the future. Last year, ACE Geosynthetics has achieved sales growth at 2 figures. In 2016 and 2017, ACE Geosynthetics also expect to achieve such results.
Meanwhile, according to Director of Sanshin Construction Corporation (Japan), Sanshin is considering setting up partnership with local business to implement a number of large infrastructure projects in Vietnam, beginning from 2017.
Since early of this year, Sanshin has partnered with Technical Link Construction Company (Vietnam) to implement a number of industrial infrastructure projects in the southern region. In the next year, these two enterprises will jointly implement a number of other similar projects.
Many construction enterprises from Japan are coming to Vietnam for the construction of infrastructure projects. Therefore, Sanshin also wants to expand its presence here to cooperate with Japanese companies.
According to construction experts, Vietnam is a country located in geographic areas with complex geological conditions; therefore the selection of foundation solutions for infrastructure is extremely important.
In the strategy to 2020, Vietnam will basically become an industrially developed towards modernization country, so the demand for infrastructure development, industrial development, urban development during this period is very large. In particular, the Government has been setting up special policies giving priority to infrastructure development in all industries and sectors. This is the opportunity for businesses and investors at home and abroad.
According to Vice President of International Society for Soil Mechanics and Geotechnical Engineering, in Vietnam, in addition to forms of public transport in major urban centers, the economic development requires faster means of transportation over long distances. Therefore, high-speed rail and highways will soon become urgent needs. This shows that the demand for geotechnical engineering will increase in the very near future. President of Ireland visit Vietnam and Promote Investment

President Michael D. Higgins has begun a State visit to Vietnam to promote cooperation with Vietnam and encourage Irish businesses’s investment and setting up companies in various sectors, including trade – investment, education – training, green technology, wind energy, agriculture, health and sustainable development.


Vietnam and Ireland trade turnover has grown strongly in recent years (particularly for first 9 months of 2016, which reached USD 798 million, more than 3 times compared to the same period of 2015). Vietnam agrees to create favorable conditions and encourage enterprises Ireland to set-up company in Vietnam to promote trading, technology transfer, especially in the areas of investing in renewable (wind) energy projects, agriculture and food processing, information, communication, medical, and aviation…, especially in the context of the free Trade Agreement between Vietnam and the EU is about to be signed and implemented. The two sides also agreed to consider education, training as key areas of cooperation in the future and encourages higher education establishments of the two countries.
It is appreciated that Government of Ireland considers Vietnam as a priority partner in development cooperation policy, and that projects funded by Ireland have been effectively implemented, which contribute significantly to the Vietnam social economic development. According to President Michael D. Higgins, Ireland will soon announce the national strategy for development cooperation with Vietnam in the period 2017 – 2020 to support poverty reduction, adaptation to climate change and implementation of the sustainable development objectives.
Wishing to strengthen the friendship and mutual understanding between the people of Vietnam and Ireland, the two sides agreed to promote cultural exchanges, art and promote the role of the Vietnamese community Vietnam in Ireland, contributing to boosting bilateral cooperation in other fields.
The state visit of Ireland President will definitely open a new chapter of economic relationship between Vietnam and Ireland, laying grounds for further investment from Irish investors in various sectors, especially in wind energy investment, aviation, education, technology, medical and many other opportunities, through direct investment i.e. setting up companies, investing in projects in Vietnam in various forms.
